XLAB's Reported 19.4M Float Is 68% Sponsor Shares That Cost $0.002 Each

After 96% of SPAC shareholders redeemed, Exascale Labs went public with a float dominated by near-zero-cost insiders and SAFE holders awaiting a resale registration that could reshape supply.

By ShareStructure Research Desk·

Exascale Labs Holdings Inc. (NASDAQ: XLAB) has a reported public float of 19.4 million Class A shares — but roughly 13.2 million of those belong to BCAR SPAC sponsor MFH 1, LLC and affiliated insiders who acquired them for a total of about $25,000. That works out to approximately $0.002 per share.

Those shares are not yet freely tradeable. A resale registration — a filing that would allow the holders to sell on the open market — is pending but has not gone effective. Once it does, and once undisclosed lock-up periods expire, a block of shares equal to 68% of the entire reported float could enter the market.

That is the single largest structural fact about XLAB.

The De-SPAC Math

XLAB completed its business combination on August 27, 2026. Of the original 28 million SPAC units sold at $10.00 each, holders redeemed 26.87 million — a 96% redemption rate. Only 1.13 million shares from the original public offering remain.

So where does the rest of the 19.4 million float come from? Mostly from legacy Exascale stockholders and SAFE investors — holders of Simple Agreements for Future Equity, meaning they advanced cash pre-merger in exchange for shares issued at closing. Approximately 8.77 million shares went to SAFE holders who invested a combined $4.5 million, implying a cost basis of roughly $0.51 per share. Those shares were registered under the S-4 — the merger registration statement — and may already be free-trading, though lock-up terms are not disclosed in available filings.

Float confidence is low.

What Sits Above the Float

Beyond the sponsor block, several other layers of potential supply exist:

  • 30.6 million Class B shares, unlisted and carrying 20 votes each, are held by five entities tied to CEO Hoansoo Lee and Chairperson Wenying Jia. These convert one-for-one into listed Class A shares but doing so would surrender voting control, making near-term conversion unlikely. If it happened, it would add 158% to the current float.

  • 14.1 million warrants at $11.50 (trading as XLABW) represent about 73% of the reported float. They carry no price-reset provision and are deep out of the money. They become relevant only above $11.50 and are callable — meaning the company can force exercise — if shares close at or above $18.00 for 20 of 30 trading days.

  • A 2026 Omnibus Equity Incentive Plan reserves 10 million Class A shares for employee compensation, with a 5% evergreen clause — an automatic annual increase — adding roughly 1.68 million shares on each January 1 starting in 2027. The first grant, 15,000 RSUs to a director, was filed on October 6, 2026.

Dilution Risk: Moderate, but Concentrated

ShareStructure assigns XLAB a dilution risk score of 4 out of 10, reflecting moderate overall risk. No variable-rate convertible notes, equity lines of credit, or at-the-market offering programs — mechanisms that issue shares continuously into the market at a discount — appear in the filings. The warrants lack a downward price reset.

The risk that does exist is concentrated in a specific event: the moment the sponsor's resale registration goes effective and lock-ups expire. Industry norms for de-SPAC transactions suggest a window of roughly February to August 2027, though early-release triggers could accelerate the timeline.

Total authorized Class A capacity stands at 260 million against 33.7 million currently outstanding — leaving room for future issuance without a shareholder vote. The company's 10-K flags a need for additional financing, but no facility has been disclosed.
