Veea's 1.85M-Share Float Faces 414% Pending Supply From Three Live Dilution Pipes

A 1-for-20 reverse split left authorized share capacity at nearly nine times shares outstanding, reloading issuance headroom just as an ATM, a floorless convertible, and an equity line feed directly into the open market.

VEEA INC. (NASDAQ: VEEA), an edge-computing and IoT hardware company, carries roughly 7.65 million post-split shares of pending supply stacked against a tradeable float of approximately 1.85 million shares — a ratio of 414%. That single number defines the structural picture.

The float in context

After a 1-for-20 reverse split effective August 28, 2026 — the maximum ratio the board was authorized to use — Veea has 3.11 million shares outstanding, of which affiliates led by CEO Allen Salmasi's NLabs entity hold about 40.6%. The remaining 1.85 million shares are the public float. Authorized shares were expressly not reduced proportionately, leaving roughly 27.5 million authorized against 3.11 million outstanding — an 8.8-to-1 headroom ratio that restores nearly all the issuance capacity consumed by the prior dilution cycle.

Three live supply channels

The actionable dilution risk is concentrated in three mechanisms that can add shares without a new shareholder vote:

1. Roth ATM ($4.35 million capacity). An at-the-market facility — a program that lets the company sell freshly issued shares directly into daily trading through a broker — launched August 13, 2026. At recent prices the full program would represent roughly 2.55 million shares, or about 138% of the entire float. ATM shares require no contemporaneous public disclosure; float can expand silently between quarterly reports. A regulatory constraint called the "baby-shelf" cap — which limits small issuers to selling one-third of their non-affiliate market value per year — likely reduces usable capacity to roughly $1.05–1.77 million at current levels.

2. White Lion convertible notes (~$1.11 million face). These notes convert at 90% of the lowest volume-weighted average price over the prior ten trading days — meaning the holder gets a 10% discount to the worst recent price — with no disclosed floor. That is a variable-rate conversion mechanic: each tranche converted and sold can push the reference price lower, which lowers the next conversion price, which issues more shares. At recent prices the notes would produce approximately 722,000 shares, equal to 39% of the float. A decline to half those levels would nearly double the share count produced.

3. White Lion equity line of credit ($25 million nominal). This ELOC — a standing facility under which the company can compel the counterparty to buy newly issued stock — prices purchases as low as the lowest traded price on the purchase date. A purchase notice was delivered as recently as August 5. A 19.99% exchange cap limits aggregate issuance to about 621,800 shares unless shareholders approve lifting the restriction at a vote deadline set for September 30, 2026.

White Lion simultaneously holds the convertible notes and operates the equity line — two independent below-market entry points into the same float.

What is inert

The roughly 3.83 million warrant shares outstanding are deep out of the money, with a weighted-average strike of approximately $83.20 and the lowest strike at $6.20 — and those $6.20 warrants are not exercisable until January 1, 2027. Two series of preferred stock held by NLabs convert at $10.06 and $6.20, also well above the market. Voluntary conversion would destroy value for the holder. This overhang is paper-only at current levels.

Issuance cadence

Veea closed a financing or equity-settlement transaction in essentially every month of 2026 — eleven distinct events from January through August, adding shares, warrants, preferred stock, or floating-conversion instruments each time. Over the roughly three months ending August 10, shares outstanding grew 23.4%. An additional $1.75 million in NLabs demand notes issued in July and August mature December 31, 2026; every prior NLabs note has been settled in equity rather than cash.

The dilution risk grade is 7 out of 10 — Elevated — held below the maximum only because the entire warrant and preferred overhang is currently economically inert.
