Rubico's Share Count Grew 100x in Four Months Despite Four Reverse Splits

After a cumulative 58,500-to-1 consolidation over ten months, the marine shipping micro-cap still carries up to 3 million registered but unissued shares against a float of roughly 4 million.

Rubico Inc. (NASDAQ: RUBI) has executed four reverse splits since December 2025 — 1-for-30, 1-for-7.8, 1-for-10, and 1-for-25 — compressing its share count by a cumulative factor of approximately 58,500 to 1. Yet the company's shares outstanding have still exploded from roughly 15,400 split-adjusted shares to about 4.03 million today. New issuance has outpaced consolidation at every turn.

The mechanism is straightforward. An F-1 registration statement — a prospectus that allows a foreign private issuer to sell securities to U.S. investors — became effective on May 1, 2026, covering up to 50 million pre-split shares. Adjusted for the most recent 1-for-25 reverse split and a 50%-stock dividend completed October 5, that translates to roughly 3 million shares. The prospectus remains live: supplement filings arrived on September 21, September 28, and October 6, the twelfth such update. How many shares remain unissued under that F-1 is not disclosed.

The float picture

Virtually all of RUBI's approximately 4.03 million outstanding shares are free-trading. Insider or restricted holdings are negligible — roughly 64 shares, per available data. No 13D, 13G, or beneficial-ownership table has surfaced to suggest otherwise. Float confidence is rated LOW because the stock dividend only settled days ago and feed providers may not yet reflect the updated count.

Overhang

The pending supply overhang is material. Up to 3 million dividend-adjusted shares could still be issued under the F-1 — equal to roughly 74% of the current float. A second channel exists: an F-3 shelf registration (No. 333-297207), a standing filing that lets a company issue securities over time without a new registration. Its capacity and usage are undisclosed. No variable-rate convertible notes or convertible preferred shares appear in the filings, which limits the most aggressive form of dilution risk. Still, the structural grade sits at 6 out of 10 — Elevated.

Corporate actions

On October 6, Rubico closed the acquisition of a special-purpose vehicle from Top Ships Inc., a disclosed related party, holding a newbuilding contract for a 47,499-deadweight-ton MR tanker at Guangzhou Shipyard International. The purchase price and any equity consideration were not disclosed. Rubico states that 85% of the shipbuilding installments are financed with debt, though the amount is unspecified.

What the structure signals

The pattern — issue shares, reverse-split to regain exchange-compliance pricing, then issue again — has repeated roughly every two to three months. RUBI now trades around $0.65, well below Nasdaq's $1.00 minimum-bid threshold. Under Nasdaq rules, a company that has executed cumulative reverse splits of 250-to-1 or more within two years is ineligible for the standard 180-day compliance cure period. RUBI's cumulative ratio of approximately 58,500-to-1 far exceeds that ceiling, which means the next compliance action could force a delisting hearing rather than another routine split.

The twelve-month dilution rate, measured by share-count growth against the split-adjusted base, exceeds 17,000%.
