(NASDAQ: CAPS), a building-products distributor focused on masonry and hardscape, has a structural feature that sets it apart from the typical micro-cap dilution story: the same control person, Maier Joshua Tarlow of 3i Management, LLC, holds sole voting and investment authority over both of the company's active financing channels — a $20 million equity line of credit operated through Tumim Stone Capital and a senior secured convertible note facility held by 3i, LP.
That means one counterparty group decides when shares are issued through the equity line and when convertible notes are turned into common stock. There is no competing lender to impose discipline on issuance pace.
The Numbers
Shares outstanding stood at 5,581,205 in August 2025. By August 10, 2026, the count had reached 20,578,551 — a 269% increase in twelve months. The most recent 83-day window alone added 63%, roughly 1.8 million shares per month. Authorized shares total 50 million, leaving approximately 29.4 million shares of remaining headroom.
The public float — shares available for trading by non-insiders — is larger than data services report. Feeds such as TradingView quote it at 10.3 million, but ShareStructure's reconstruction, accounting for shares issued between late June and August 2026, places the adjusted float at approximately 15.7 million. The gap exists because the recent issuances, all resale-registered — meaning holders can sell immediately with no lock-up — have not yet been captured by commercial float feeds.
The Overhang
The Tumim equity line prices each draw at 97% of VWAP — meaning the buyer pays 3% below the volume-weighted average price over the valuation period. At the company's current market capitalization, the facility's $20 million capacity represents 5.25 times the entire company value.
Separately, $4,091,207 of convertible note principal remains undrawn under the 3i purchase agreement. If that tranche were issued and converted at or near market, it would imply more than 20 million new shares — exceeding the entire current share count.
Approximately 6.6 million registered resale shares — equivalent to 42% of the current float — could reach the market within 90 days across the two channels.
Additionally, 3i holds 405,000 warrants at a $0.01 exercise price, so deeply in the money they are economically equivalent to issued stock. That adds another 2.6% to effective tradeable supply.
The Reverse Split Variable
Shareholders authorized a reverse stock split on June 18, 2026, to address a Nasdaq minimum bid-price deficiency. The ratio has not been disclosed and the split has not been effected. The company executed a 1-for-1,000 reverse split in 2019.
A reverse split would reset the share count downward but would leave both the equity line and the convertible note facility fully intact — along with the full 50 million authorized share ceiling. That configuration mirrors the structural setup that preceded the current dilution cycle.
