Mobile-health Network Solutions (NASDAQ: MNDR), a Singapore-based telehealth company structured as a Cayman Islands holding entity, carries a dilution risk grade of 9 out of 10 — one notch below the maximum — driven almost entirely by a single financing mechanism that has no structural ceiling.
The Yorkville Equity Line
The company's active Standby Equity Purchase Agreement — a facility that lets the issuer sell newly created shares to a committed buyer on demand — was signed with YA II PN, Ltd. (Yorkville) in February 2025 for $10 million over 36 months. As of May 2026, $7.24 million of that commitment remained undrawn.
Shares under the facility are priced at 97% of the lowest daily volume-weighted average price during the pricing window — meaning Yorkville pays a 3% discount to the worst price of the day, not the average. At the current share count, that remaining dollar commitment implies roughly 5.8 million new Class A shares. The free-trading float sits at an estimated 470,455 shares. Those implied shares equal approximately 1,240% of it.
Why There Is No Brake
Nasdaq Rule 5635(d) normally caps share issuances at 19.99% of pre-deal shares outstanding unless shareholders approve the excess. That cap does not apply here. MNDR elected Cayman Islands home-country corporate governance practices in lieu of Nasdaq's shareholder-approval requirements, and a dual-class structure gives three insiders 58.6% of voting power on just 12.13% of economic capital. No vote can block further issuance.
A resale registration statement covering 1,328,180 post-split shares became effective in May 2026, making every share delivered under the facility free-trading immediately — no Rule 144 holding period, meaning no mandatory wait before the buyer can sell into the open market. That registered block alone equals 282% of the estimated float.
The Reverse-Split Cycle
Since March 2025 the company has executed three reverse splits: 1-for-8, 1-for-5, and 1-for-6. Cumulatively, that is a 1-for-240 consolidation. Each reset compressed the share count low enough to restart issuance, and each was followed within weeks by renewed financing activity. Between September 2025 and May 2026, split-neutral total shares grew roughly 750%.
What Is Clean
One feature stands out. There are zero warrants outstanding and zero preferred shares. The IPO underwriter's warrants were cashless-exercised in full in April 2024 and extinguished entirely. The warrant-overhang component of the dilution score is genuinely zero — a rarity in this capitalization tier.
Float Confidence
The reported float of approximately 470,000 shares is derived from data feeds whose snapshot date reconciles to the May 2026 prospectus cover page. It cannot include any equity-line advances drawn since then. Given that Class A outstanding grew 59% in the eight weeks preceding that snapshot, the actual float today is very likely materially higher — but no hard share count has been published since. The company is authorized to issue up to 52,083,333 ordinary shares; roughly 1.28 million are currently outstanding, leaving over 50 million in the treasury available for issuance without any amendment to the charter.
The next cover-page share count — likely in a Form 20-F or a new prospectus supplement — will be the first concrete data point in more than four months.
