DataMeds AI Has 1.88M Tradeable Shares and 34.5M Waiting in the Wings

A pending resale registration covering more than 18 times the current float sits atop a stack of variable-rate convertible notes, a full-ratchet acquisition note, and an active court-approved settlement that issues free-trading shares on the spot.

DataMeds AI, Inc. (NASDAQ: MEDS) has 3.46 million shares outstanding, but only about 1.88 million of them trade freely. The rest are locked inside insider holdings, a restricted acquisition block, and institutional positions. That 1.88 million-share float is the denominator against which every dilution mechanism must be measured — and the numerator is enormous.

The Convertible Stack

The company's biggest structural overhang is $21.1 million in senior secured convertible notes issued in May 2026. These notes convert at the holder's option at the lesser of $6.00 or the prior day's closing price, with a $1.00 floor — meaning the conversion price tracks the market downward but stops at a dollar. At recent levels, that works out to roughly 6.7 million shares, or about 3.5 times the entire float.

It gets worse at maturity. When the notes mandatorily convert into Series A Preferred Stock — a new class of shares not yet authorized — the $1.00 floor resets to the lesser of $1.00 or 20% of the prior close. The preferred also accretes a 10% PIK dividend — meaning unpaid interest compounds into the principal balance as additional stock, increasing the share count over time. At the $1.00 floor alone, the notes would produce roughly 21.1 million shares. Below it, the math escalates.

Ten-plus separate holders each carry a 9.99% beneficial-ownership cap. That limits any single holder's position at a given moment, but it does not cap total supply. Every holder can convert up to the cap, sell, and convert again.

The Resale Registration

A resale S-1 — a filing that, once the SEC declares it effective, lets named selling shareholders sell their shares on the open market without restriction — was filed on August 7, 2026. It covers 34,462,058 shares. That is more than 18 times the tradeable float. The filing includes the full note-conversion and warrant stack plus 1.28 million previously issued insider shares. Effectiveness could come any day.

Even without it, roughly $12 million of the May note principal was rolled over from January 2026 notes. If the six-month holding period tacks — a process under Section 3(a)(9) where the new security inherits the old security's holding period — then conversion shares on that slice, about 3.8 million, may already qualify for Rule 144 resale now.

Additional Layers

Silverback Capital holds a reinstated Section 3(a)(10) settlement — a court-approved exemption that lets the company issue shares to satisfy creditor claims, with those shares becoming free-trading immediately, bypassing registration and lock-ups. Per-tranche issuance prices have stepped down from $12.50 to $3.25 on a split-adjusted basis. About 346,000 net new shares appeared between June 30 and September 11, consistent with ongoing issuance.

The Axe Compute acquisition added a $1.36 million convertible note at $1.00, carrying a full-ratchet anti-dilution provision — meaning if the company issues shares at any lower price, Axe's conversion price drops to match, and its share count multiplies. Those shares are locked for 12 months, but the ratchet mechanism is live.

Finally, a stock-only letter of intent for a multi-entity acquisition would leave current public shareholders with approximately 10.4% of the fully diluted company — a roughly 9.6-fold dilution if a definitive agreement is signed.

Authorized Headroom

The company has 500 million shares authorized against 3.46 million outstanding, leaving roughly 144 times the current share count available for issuance. Two reverse splits — 1-for-3.75 in December 2024 and 1-for-50 in May 2026 — preceded this structure. On a split-adjusted basis, shares outstanding have grown about 92% in ten months.

The total pending overhang — convertible notes, warrants, JV obligations, and acquisition shares — sums to roughly 32.4 million shares, or about 17 times the float. The 9.85 million warrants alone represent 5.2 times the float, though most carry a $7.50 strike well above recent trading levels; the company retains discretion to cut that strike by up to 80% to induce exercise.

A Nasdaq stockholders'-equity compliance deadline on October 12, 2026 adds pressure for near-term equity issuance or note conversion — exactly the kind of event that would begin feeding shares from the overhang into the tradeable supply.
