BIO KEY INTERNATIONAL INC (NASDAQ: BKYI) carries a dilution overhang — shares that could enter the market through warrants, convertible notes, and other instruments — that matches its entire public float, share for share.
The company's pending supply totals approximately 1.37 million shares, or 102.5% of its estimated 1.33 million-share tradeable float. That earns BKYI a dilution risk grade of 8 out of 10 — HIGH.
The Armistice Warrant Block
The dominant source of overhang is a single block: 1,236,668 warrants held by Armistice Capital Master Fund Ltd., struck at $4.06 per share. These warrants cannot be exercised until BKYI obtains stockholder approval, a Nasdaq requirement for issuances of this size. But this is not a passive gate. The company signed a contractual obligation to convene a stockholder meeting within 120 days of August 10, 2026 — roughly by early December — and to keep holding meetings every 90 days until the vote passes. It must also file a resale registration statement — a filing that, once effective, allows the warrant holder to freely sell the underlying shares — and use commercially reasonable efforts to have it declared effective within 90 days.
If fully exercised, this single block would push shares outstanding from 1,436,344 to approximately 2,673,012 — an 86% increase.
A Repricing Pattern, Not a One-Off
This is the fourth consecutive warrant repricing cycle between BKYI and Armistice. The strike has fallen from $31.50 to $18.50 to $21.50 to $10.20 to the current $4.06 — a 92% cumulative decline. Each round retired an out-of-the-money position and replaced it with one-to-two times as many new warrants at the lower strike. The overhang has never retired. It has grown from 103,056 warrants to 1,236,668.
A 4.99% beneficial ownership cap — a contractual blocker that prevents the fund from holding more than 4.99% of outstanding shares at any moment — means Armistice must distribute shares into the market as it exercises in order to stay compliant.
The Float Is Already Larger Than Screeners Show
Data services currently report a float of roughly 963,000 shares. The actual tradeable float is approximately 1,333,666 — about 38% higher. The gap exists because three issuance events between late July and mid-August have not yet been absorbed: a 618,334-share Armistice warrant exercise and two Streeterville Capital note exchanges totaling 81,100 shares. XBRL filings confirm shares outstanding grew 32.3% in just eight weeks.
The Streeterville Layer
Beneath the warrant overhang sits a roughly $325,000 residual balance on a senior secured note held by Streeterville Capital, a lender that converts debt to equity through a partition-and-exchange mechanism — a structure where principal is carved into smaller notes and swapped for common stock at negotiated near-market prices with no minimum floor. Two such exchanges occurred in the 14 days before BKYI's latest quarterly filing, at approximately $4.62 and $3.97 per share respectively — a 14% step-down between tranches. At recent prices, the remaining balance implies roughly 102,000 additional shares, about 7.7% of float.
Authorized Headroom
BKYI has 170 million shares authorized against 1.44 million outstanding. That leaves authorized capacity exceeding current outstanding by more than 117 times — ample structural room for continued issuance. The company has executed five reverse stock splits since 2015, with a cumulative ratio of approximately 1-for-34,560, resetting the share count each time to accommodate fresh dilution.
The Streeterville note matures March 30, 2027, and the lender holds a monthly redemption right of up to $135,000, with a 1% automatic balance escalation if the company fails to fund — a mechanism that forces continued exchange activity regardless of market conditions.
