Biodexa Pharmaceuticals Plc (NASDAQ: BDRX) has grown its American Depositary Share count by approximately 1,592% since December 31, 2025 — from about 451,636 ADS to roughly 7.64 million — through a rapid sequence of offerings and warrant exercises, all involving a single institutional investor.
The structural picture is dominated by one mechanism: a repeating warrant-inducement cycle. Here is how it works. Armistice Capital Master Fund Ltd., a New York–based institutional holder, exercises warrants that the company has repriced — meaning the strike price is lowered to make exercise worthwhile — and in exchange receives new warrants with 200% coverage, or two new warrant shares for every one exercised. The company then files a resale registration — a prospectus that lets the investor sell those newly issued shares on the open market — and the cycle begins again.
This pattern has run twice in ten weeks. In July 2026, Biodexa conducted a registered direct offering, a PIPE (private investment in public equity), and a Series L warrant inducement, all with Armistice and all placed by Maxim Group LLC. That round added roughly 1.24 million ADS. Then in September, Armistice's Series M, N, and O warrants were repriced from $2.85 to $1.05 and exercised in full, producing 2.2 million new ADS. The replacement: 4,408,436 Series P warrants at a $1.05 strike, expiring in 2031.
The Overhang
Those Series P warrants are the single largest pending supply risk. They equal 58% of the current float. They are out of the money at recent levels, but that distinction is fragile. The company can lower the strike voluntarily at any time — no shareholder vote required. It has already done so twice. A resale registration (an F-1 filing) covering all 4.4 million Series P shares was filed on September 24, 2026, and could become effective by late October or late November.
If the Series P warrants follow the same inducement template, a single exercise-and-replace event would add 4.4 million ADS to the float and create approximately 8.8 million new replacement warrants — more than the entire current share count.
Issuance Authority
There is effectively no structural brake. A July 2026 general meeting authorized the allotment of up to £25 million in nominal value of ordinary shares at £0.000001 each — roughly 25 trillion ordinary shares — through the 2029 annual general meeting. That authority dwarfs any conceivable near-term issuance and removes the need for a shareholder vote before the next deal.
Data Discrepancy
Most market data services still show Biodexa's outstanding count at approximately 1.03 million ADS — about 7.4 times lower than the filing-derived figure of 7.64 million. The gap means screens and float-based calculations relying on third-party feeds are materially understating the company's total supply.
Nine Reverse Splits
Biodexa has executed nine reverse splits or ADS-ratio resets since 2019, five of them since March 2023. The most recent, a 1-for-10,000 ordinary share consolidation in July 2026, reset the ADS ratio from 500,000 to 50. With the stock trading below Nasdaq's $1.00 minimum bid threshold, another ratio adjustment appears structurally likely — which historically precedes the next round of dilution.
Biodexa carries no convertible debt and no preferred stock. Its dilution risk grade of 6 out of 10 (ELEVATED) reflects not the complexity of its capital structure but the velocity and repeatability of its single financing channel: the Armistice–Maxim inducement treadmill, with a repricing mechanism that keeps every warrant tranche perpetually live.
