ASHFORD HOSPITALITY TRUST INC (NYSE: AHT) carries a dilution overhang that dwarfs its tradeable supply by an order of magnitude.
The hotel REIT's public float stands at just 6.40 million shares — 98.9% of the 6.47 million outstanding — but the company's own second-quarter 2026 diluted-earnings footnote models 71,022,000 common shares issuable from the assumed conversion of its Series J, K, L, and M redeemable preferred stock. That is 11.1 times the entire float. ShareStructure assigns AHT a dilution risk score of 8 out of 10 (HIGH).
The Mechanism
The four non-traded preferred series carry a combined $226.2 million in carrying value across 9.2 million preferred shares. Each is redeemable at the holder's option at any time at $25.00 stated value. The company may settle that redemption in common stock priced at the closing price on the single trading day before the redemption date.
There is no conversion floor — meaning no minimum price below which stock settlement is blocked. There is no cap on the number of shares deliverable. The settlement price resets daily. This is the architecture of a variable-rate, floorless conversion: the lower the common stock trades, the more shares each preferred redemption creates, and each block of new shares delivered can mechanically pressure the price into the next redemption cycle.
The quarter-over-quarter shift in the company's own modeled share count illustrates the sensitivity. At March 31, 2026, AHT's diluted-EPS disclosure assumed 83.98 million common shares from these preferred series. By June 30, that figure had dropped to 71.02 million — a swing of roughly 13 million shares driven solely by the change in the reference price.
The Series J Alone
The Series J tranche — 7.68 million preferred shares at an 8.0% coupon — accounts for 59.3 million of the 71 million modeled common shares. That single series represents 9.3 times the float. It was distributed by Ashford Securities LLC, a subsidiary of Ashford Inc., which also controls AHT's external advisor — an affiliated pipeline that originated the instruments without an independent party negotiating a conversion floor or share cap.
Additional Layers
Beyond the J/K/L/M stack, five NYSE-listed cumulative preferred series (D, F, G, H, I) total $142.3 million in liquidation preference. These carry no contractual conversion right, but AHT's 10-K explicitly states a strategy of "opportunistically exchanging preferred stock into common stock." All preferred dividends were suspended on January 13, 2026, and arrears are now accruing — the standard precursor to a negotiated exchange.
Separately, a $100 million at-the-market equity program — a facility that lets the company sell shares directly into the open market through broker Virtu Americas — has roughly $89.1 million of remaining capacity, equivalent to about 4.5 times the float. It is currently frozen. AHT lost its Form S-3 eligibility — the SEC registration that an ATM runs on — when it missed the January 15, 2026 preferred dividend. A $500 million universal shelf registration — a pre-filed SEC authorization to issue various securities — sits at zero drawn for the same reason.
The Compression Cycle
AHT has executed three 1-for-10 reverse splits since July 2020, a cumulative 1-for-1,000 contraction. Each was followed by renewed share issuance. Since the most recent split in October 2024, shares outstanding have already climbed 17.2%, from 5,520,951 to 6,469,814, including approximately 813,000 shares sold on the ATM for $10.9 million gross — equal to 12.6% of current shares outstanding.
With 395 million shares authorized against 6.47 million outstanding, the certificate of incorporation provides ample room for further issuance — a ratio of roughly 61 authorized shares for every one currently outstanding.
